Introduction

1. These terms and conditions govern the relationship between the website development agency (hereinafter referred to as “Agency”) and the client (hereinafter referred to as “Client”) for the development of a website (hereinafter referred to as “Website”).
   By engaging the Agency for the development of a Website, the Client agrees to these terms and conditions.

Scope of Work

1. The Agency will develop the Website in accordance with the specifications agreed upon by the Client and the Agency. The specifications will be set out in a separate document (hereinafter referred to as “Specification Document”). The Specification Document will include, but not be limited to, the following:

• The design of the Website
• The functionality of the Website
• The content of the Website
• The timeline for the development of the Website

Fees

1. The Client will pay the Agency a fee for the development of the Website. The fee will be set out in the Specification Document. The Client will pay the Agency the fee in accordance with the payment schedule set out in the Specification Document. The Agency reserves the right to withhold delivery of the Website until payment of the fee has been received in full.
   The Agency accepts payments online using Visa and MasterCard, credit/debit Card.  The Client must retain a copy of transaction records and Merchant policies and rules.

The Client using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.

Changes to Scope of Work

1. If the Client wishes to change the scope of work, the Client must provide written notice to the Agency. The Agency will then provide the Client with a revised Specification Document and fee. If the Client accepts the revised Specification Document and fee, the Agency will proceed with the development of the Website in accordance with the revised Specification Document.

Intellectual Property

1. The Client acknowledges that all intellectual property rights in the Website and the Specification Document belong to the Agency. The Agency grants the Client a non-exclusive, non-transferable license to use the Website for the purpose of the Client’s business.

Confidentiality

1. The Client and the Agency agree to keep all confidential information received from each other confidential. This includes but is not limited to, the Specification Document and any information relating to the Client’s business.

Warranties

1. The Agency warrants that it will use reasonable care and skill in the development of the Website. The Client warrants that it owns all necessary intellectual property rights in the content provided to the Agency for the Website.

Limitation of Liability

1. The Agency will not be liable to the Client for any loss or damage arising from the development of the Website. This includes, but is not limited to, loss of profits, loss of business, or any other indirect or consequential loss.

Termination

1. Either party may terminate this agreement by providing written notice to the other party. If the Client terminates this agreement, the Agency will invoice the Client for all work completed up to the date of termination.

Governing Law and Jurisdiction

1. This agreement will be governed by and construed in accordance with the laws of the jurisdiction of INDIA. Any dispute arising out of this agreement will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

Entire Agreement

1. This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

Amendments

1. The Website Policies and Terms & Conditions may be changed or updated occasionally to meet the requirements and standards. Therefore the Client is encouraged to frequently visit these sections in order to be updated about the changes on the website. Modifications will be effective on the day they are posted.

Others

1.  Any dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of INDIA.
2. United Arab of Emirates is our country of domicile.
3. Minors under the age of 18 shall are prohibited to register as a User of this website and are not allowed to transact or use the website.
4. “We accept payments online using Visa and MasterCard credit/debit card in AED (or any other agreed currency)”.

By engaging the Agency for the development of a Website, the Client agrees to these terms and conditions.
